Terms of Service
These Terms of Service ("Terms") govern access to and use of the websites, products, services, platforms, hosted websites, demo websites, LaunchSite Builder, Client Portal, custom domain tools, AI-assisted services, communications systems, automation workflows, analytics features, APIs, and related offerings provided by Think Media LLC, operating as LTMG and Let's Think Media Group ("LTMG," "we," "our," or "us").
By accessing or using the Services, creating an account, submitting information, approving a demo, purchasing a subscription, clicking an acceptance button, signing an order, or otherwise using any part of the Services, you agree to be bound by these Terms.
If you use the Services on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity. In that case, "you" and "your" refer to both you and that entity.
If you do not agree to these Terms, do not access or use the Services.

Additional order forms, statements of work, invoices, service descriptions, or written agreements may apply. If there is a conflict between these Terms and a signed written agreement between you and LTMG, the signed written agreement controls for that conflict.

Definitions
For purposes of these Terms:
- "Account" means an account, profile, login, or access credential used to access the Client Portal or other account-based Services.
- "Client Content" means content, data, images, logos, business information, text, media, files, domain information, booking links, service descriptions, pricing information, business hours, customer information, and other materials submitted, uploaded, provided, or authorized by you.
- "Client Website" means a website, landing page, demo, or hosted digital experience created, hosted, or managed through LTMG for a client.
- "Demo" means a sample, preview, prototype, AI-generated, or manually created website or digital asset prepared by LTMG for review, sales, testing, or onboarding.
- "Generated Content" means text, images, layouts, designs, recommendations, code, summaries, or other outputs generated or assisted by AI, automation, templates, or LTMG systems.
- "LTMG Property" means LTMG's software, source code, object code, APIs, systems, templates, themes, layouts, workflows, automation pipelines, AI systems, prompts, design frameworks, operational methods, platform architecture, analytics systems, documentation, trade secrets, know-how, branding, and other intellectual property.
- "Services" means all products, services, websites, portals, tools, systems, hosted assets, communications, AI features, automations, and offerings provided by LTMG.
- "Subscription" means a recurring paid plan for managed hosting, website services, portal access, maintenance, custom domain services, analytics, or related offerings.

Eligibility and Authority
You must be at least 18 years old and legally able to enter into a binding agreement to use the Services.
If you use the Services for a business, you represent and warrant that:
- You have authority to act for that business
- The information you provide is accurate and complete
- You have the right to submit Client Content
- You have the right to authorize LTMG to use, modify, host, publish, and process Client Content
- Your use of the Services complies with applicable law
LTMG may refuse service, reject registrations, suspend accounts, remove content, decline projects, or terminate access where permitted by these Terms.

Accounts, Access, and Security
You are responsible for maintaining the confidentiality of login credentials and for all activity under your Account.
You agree to:
- Provide accurate account information
- Keep account information current
- Use strong credentials
- Limit account access to authorized users
- Promptly notify LTMG of unauthorized access or suspected compromise
- Ensure that all authorized users comply with these Terms
LTMG may use authentication providers, identity systems, role-based access controls, audit logs, and security monitoring to manage account access.
LTMG may suspend or restrict access if we believe an Account is compromised, misused, associated with suspicious activity, or creating risk to the Services, LTMG, clients, users, vendors, or the public.

Description of Services
LTMG provides digital services that may include:
- AI-assisted website design and generation
- Managed website hosting
- Static website deployment
- Demo website generation
- LaunchSite Builder intake and generation workflows
- Website content editing and publishing
- Client portal access
- Custom domain setup and support
- DNS and SSL support
- Contact forms and lead routing
- Analytics and traffic reporting
- Billing and subscription support
- Business communications
- Automation workflows
- Digital marketing and website-related services
The specific Services available to you depend on your plan, order, subscription tier, agreement, and account status.
LTMG may modify, update, improve, discontinue, replace, restrict, or add features to the Services at any time.

Demos, LaunchSite Builder, and Pre-Sale Website Previews
LTMG may create Demos for prospects or clients. Demos are provided for evaluation, sales, testing, and preview purposes.
Unless otherwise agreed in writing:
- Demos remain LTMG Property until converted into a paid Client Website or otherwise licensed
- Access to a Demo does not transfer ownership
- LTMG may archive, remove, modify, or disable Demos
- Demos may include AI-generated or sample content
- You are responsible for reviewing Demo content before approving publication or purchase
- A Demo does not guarantee future performance, search rankings, traffic, conversions, revenue, or business results
LaunchSite Builder and similar tools may use intake responses, uploaded files, AI systems, templates, and automation workflows to create a website preview. You are responsible for ensuring that submitted information is accurate and that uploaded materials are lawful and authorized.

Managed Hosting and Website Services
LTMG may host, manage, maintain, or publish Client Websites as part of a paid Subscription or written agreement.
Unless otherwise stated in writing:
- LTMG hosts websites on infrastructure selected by LTMG
- LTMG may use cloud hosting, edge networks, storage providers, proxy services, and automation tools
- LTMG may update, patch, optimize, cache, compress, archive, or move hosted assets as needed
- LTMG may implement reasonable security, performance, and operational controls
- LTMG may suspend or disable hosted assets for non-payment, abuse, security risk, legal risk, or violation of these Terms
Client Websites may be static, template-based, AI-assisted, or otherwise generated through LTMG systems. Features vary by plan.
7.1 — Client Review Responsibility
You are responsible for reviewing and approving all published content, including business name, phone number, address, hours, services, pricing, descriptions, photos, logos, booking links, legal disclaimers, privacy notices, accessibility needs, industry-specific regulatory disclosures, and any other published content.
LTMG is not responsible for inaccurate, outdated, unlawful, misleading, or incomplete Client Content.
7.2 — Site Editing and Publishing
If your plan includes portal editing, publishing tools, or content update requests, you are responsible for changes submitted by your authorized users. LTMG may maintain version history or rollback tools, but does not guarantee that all prior versions can be restored.

Custom Domains, DNS, SSL, and Registrar Services
LTMG may assist with custom domains, DNS records, SSL certificates, proxy routing, and domain-related services.
You acknowledge that domain and DNS services may depend on third-party registrars, DNS providers, certificate authorities, cloud providers, and internet infrastructure outside LTMG's control.
Unless otherwise stated in writing:
- You are responsible for owning or lawfully controlling any domain you submit
- You are responsible for ensuring domain contact information is accurate
- You are responsible for renewing domains you own directly
- DNS propagation times are outside LTMG's control
- SSL issuance and renewal may depend on third-party certificate authorities
- Domain registration, transfer, suspension, expiration, redemption, or loss may be governed by third-party registrar terms
- LTMG is not responsible for domain loss caused by inaccurate information, non-payment, registrar action, client delay, DNS misconfiguration, or third-party failure
If LTMG registers a domain on your behalf, the ownership, control, transfer, renewal, and cancellation terms may be governed by your service plan, invoice, registrar rules, and applicable law. LTMG may charge domain fees, renewal fees, management fees, and related costs.

Client Content
You retain ownership of Client Content, subject to the licenses granted in these Terms and any applicable agreements.
You grant LTMG a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, store, copy, reproduce, modify, adapt, translate, display, publish, distribute, create derivative works from, and otherwise process Client Content as necessary to provide, operate, secure, support, improve, promote, and document the Services.
This license includes the right to create and host websites, generate Demos, resize or optimize images, edit text for layout, publish website content, route leads and form submissions, display Client Content in the Client Portal, create backups and version history, process Client Content through AI and automation tools, and use Client Content for support, quality assurance, security, analytics, and operational purposes.
You represent and warrant that:
- You own or have all rights required to submit Client Content
- Client Content does not infringe or violate third-party rights
- Client Content is accurate and not misleading
- Client Content complies with applicable law
- Client Content does not contain malware, unlawful material, or prohibited content
- You have obtained all required consents for personal information included in Client Content
You are solely responsible for Client Content and all consequences of submitting, publishing, or relying on it.

LTMG Intellectual Property
LTMG retains all rights, title, and interest in and to LTMG Property. These Terms do not transfer ownership of LTMG Property to you.
Unless expressly permitted in writing, you may not copy LTMG templates for use outside the Services, resell or redistribute LTMG systems, reverse engineer or attempt to extract source code, scrape or reproduce LTMG workflows, remove LTMG branding where required by your plan, use LTMG trademarks without permission, or create competing services using LTMG Property.
10.1 — License to Use Delivered Websites
Subject to full payment and continued compliance with these Terms, LTMG grants you a limited, revocable, non-exclusive, non-transferable license to use the Client Website delivered under your active Subscription for your internal business purposes.
This license does not include ownership of LTMG Property, templates, software, automation, source code, workflows, AI systems, or platform infrastructure.
10.2 — Portfolio and Marketing Use
Unless you request otherwise in writing, LTMG may identify you as a client and may display your business name, logo, screenshots, public website, and general project description in portfolios, case studies, sales materials, and marketing materials. LTMG will not intentionally disclose confidential non-public business information in such materials without permission.

AI-Generated and AI-Assisted Content
Certain Services use AI systems, language models, image generation, workflow automation, moderation tools, analytics, or recommendation systems.
You acknowledge and agree that:
- AI outputs may be inaccurate, incomplete, offensive, outdated, infringing, or unsuitable
- AI outputs may resemble content generated for others
- AI outputs may require human review and editing
- AI outputs do not constitute legal, financial, tax, medical, compliance, cybersecurity, or professional advice
- AI outputs do not guarantee SEO ranking, traffic, leads, conversions, revenue, or business results
- You are responsible for reviewing, approving, verifying, and legally clearing all AI-generated or AI-assisted content before use or publication
LTMG is not responsible for claims, losses, damages, penalties, or disputes arising from your use of AI-generated content without appropriate review, verification, or authorization.
LTMG may use AI providers and automation vendors to process Client Content and related information as described in the Privacy Policy.
12
Payments, Subscriptions, Taxes, and Billing
Certain Services require payment of subscription fees, setup fees, usage fees, domain fees, add-on fees, overage fees, or other charges. By purchasing a paid Service, you authorize LTMG and its payment processors to charge your payment method for all applicable fees, taxes, renewals, and charges associated with your plan, order, or account.
12.1 — Subscription Billing
Subscriptions renew automatically on the billing cycle selected at purchase unless cancelled in accordance with these Terms. Billing may be monthly, annually, or as otherwise stated in the applicable order or checkout flow.
12.2 — Setup Fees
Setup fees, onboarding fees, implementation fees, domain fees, and other one-time fees are non-refundable except where required by law or expressly stated in writing.
12.3 — Taxes
You are responsible for all applicable taxes, duties, levies, and governmental charges. LTMG may collect and remit taxes where required.
12.4 — Payment Processing
Payments may be processed by Stripe or other payment processors. Payment processing is subject to the processor's terms and privacy policy. LTMG does not store full payment card numbers on its own systems.
12.5 — Failed Payments
If payment fails, LTMG may retry the payment, notify you, restrict features, suspend services, disable hosted assets, pause support, or terminate the account. You remain responsible for all unpaid amounts.
12.6 — Billing Disputes
You must notify LTMG of billing disputes within thirty (30) days after the charge appears. Failure to notify LTMG within that period waives the dispute to the maximum extent permitted by law. Chargebacks or payment disputes may result in account suspension while the dispute is investigated.

Cancellation, Refunds, and Offboarding
You may cancel a Subscription through available cancellation methods, the Client Portal if enabled, or by contacting support.
Unless otherwise stated in writing:
- Cancellation takes effect at the end of the current paid billing period
- Subscription fees are non-refundable
- Setup fees are non-refundable
- Domain fees are non-refundable once incurred
- Usage fees and overage fees are non-refundable
- Access may continue until the end of the paid billing period if the account is in good standing
- LTMG may disable hosted services after cancellation becomes effective
LTMG may provide export options where available and technically feasible. Exported content may not include LTMG Property, source code, templates, proprietary workflows, AI prompts, automation logic, infrastructure configuration, or platform components.
LTMG may retain account records, billing records, backups, logs, and other information consistent with the Privacy Policy and legal obligations.

Acceptable Use
You agree not to use the Services to:
- Violate law or regulation
- Infringe intellectual property, privacy, publicity, or other rights
- Transmit spam or unlawful marketing
- Send messages without required consent
- Publish false, misleading, defamatory, obscene, hateful, abusive, harassing, or discriminatory content
- Impersonate any person or entity
- Collect information without appropriate consent
- Transmit malware, ransomware, spyware, viruses, or harmful code
- Interfere with or disrupt the Services
- Attempt unauthorized access to systems, accounts, networks, or data
- Bypass security, rate limits, authentication, or access controls
- Scrape, crawl, copy, or extract data without written permission
- Reverse engineer or attempt to discover source code
- Use the Services for illegal goods or services
- Use the Services for regulated activities without required approvals
- Damage LTMG's reputation, infrastructure, deliverability, vendors, or clients
- Create legal, security, operational, or reputational risk for LTMG
LTMG may remove content, suspend accounts, restrict features, block traffic, disable websites, or terminate Services for violations of this section.
15
Messaging, Email, SMS, iMessage, RCS, and Phone Communications
LTMG may communicate through email, phone, SMS, iMessage-style messaging, RCS, chat, portal notifications, and similar channels.
15.1 — Transactional Communications
You agree to receive transactional and operational communications related to your account, billing, security, support, onboarding, domain setup, website status, and service delivery. These communications are necessary to provide the Services.
15.2 — Marketing Communications
Where permitted by law, LTMG may send marketing communications. You may opt out of marketing emails using unsubscribe links or by contacting us.
15.3 — Text Messaging Terms
By providing a phone number, submitting a form, requesting a demo, responding to outreach, giving verbal consent, or otherwise opting in, you authorize LTMG to send text messages through SMS, iMessage-style messaging, RCS, or similar channels, subject to applicable law.
Message frequency may vary. Message and data rates may apply. Consent to receive marketing text messages is not a condition of purchase. You may opt out by replying STOP or using another reasonable opt-out method made available by LTMG. You may request help by replying HELP or contacting support.
You represent that any phone number you provide is accurate and that you are the subscriber, customary user, or authorized representative for that number.
15.4 — Call Recording and Transcription
Calls, voicemails, chats, and other communications may be recorded, transcribed, summarized, monitored, or analyzed for training, quality assurance, compliance, fraud prevention, dispute resolution, and service improvement. Where required, LTMG will provide notice or obtain consent.

Privacy and Data Protection
Your use of the Services is governed by the LTMG Privacy Policy, which is incorporated into these Terms by reference.
You agree that LTMG may collect, use, process, store, disclose, and protect information as described in the Privacy Policy.
If you provide personal information about employees, contractors, customers, prospects, website visitors, or other individuals, you represent that you have provided all required notices and obtained all required rights, permissions, and consents.
If you use the Services as a business customer, you are responsible for your own privacy notices and compliance obligations related to your customers, website visitors, leads, and end users.

Third-Party Services and Integrations
The Services may depend on or integrate with third-party services, including cloud providers, payment processors, domain registrars, DNS providers, communications providers, authentication providers, AI providers, analytics providers, advertising platforms, maps providers, booking platforms, social media platforms, and automation tools.
LTMG is not responsible for:
- Third-party service availability or outages
- Third-party security incidents
- Third-party terms or policy changes
- Third-party pricing changes
- Third-party data processing
- Third-party content, API limitations, or account suspensions
- Third-party errors or delays
Your use of third-party services may be subject to separate terms, policies, fees, and restrictions.

Service Availability, Maintenance, and Changes
LTMG aims to provide reliable Services, but does not guarantee uninterrupted, error-free, secure, or continuous operation.
The Services may be unavailable, delayed, degraded, modified, or interrupted due to maintenance, updates, third-party outages, internet failures, DNS propagation, cloud provider issues, security incidents, capacity limits, force majeure events, client misconfiguration, payment issues, legal or compliance requirements, or suspension or termination.
LTMG may modify, suspend, discontinue, replace, or limit any part of the Services at any time. LTMG is not liable for service interruptions, delays, data loss, performance issues, or feature changes except as expressly required by law or a signed written agreement.

Support and Service Requests
Support availability, response times, update frequency, and included services depend on your plan or written agreement.
LTMG may provide support through email, portal, phone, messaging, or other channels. LTMG may prioritize support based on severity, account status, plan level, security impact, and operational capacity.
Support does not include services outside the scope of your plan unless separately agreed and paid.

Confidentiality
Each party may receive non-public information from the other that is designated confidential or reasonably should be understood to be confidential.
Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the Services.
Confidentiality obligations do not apply to information that is publicly available through no fault of the receiving party, was known before disclosure without restriction, is independently developed without use of confidential information, is lawfully received from a third party without restriction, or must be disclosed by law, court order, or government request.

Security
LTMG uses commercially reasonable safeguards designed to protect the Services. However, no system is completely secure.
You are responsible for securing your accounts, managing authorized users, using strong passwords, protecting devices used to access the Services, promptly notifying LTMG of suspected unauthorized access, and ensuring that Client Content does not contain malware or harmful code.
LTMG is not responsible for unauthorized access caused by your failure to secure accounts, devices, credentials, domains, DNS, third-party accounts, or user permissions.

No Professional Advice
The Services, AI outputs, analytics, recommendations, templates, workflows, and communications are provided for informational and operational purposes only.
They do not constitute legal, financial, tax, medical, cybersecurity, regulatory, or professional advice. You are responsible for obtaining professional advice for your specific circumstances.

Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."
LTMG DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.
LTMG DOES NOT WARRANT THAT: THE SERVICES WILL MEET YOUR REQUIREMENTS; THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE; AI OUTPUTS WILL BE ACCURATE OR LAWFUL; WEBSITES WILL ACHIEVE ANY SEARCH RANKING; WEBSITES WILL GENERATE TRAFFIC, LEADS, SALES, REVENUE, OR CONVERSIONS; DEFECTS WILL BE CORRECTED; THIRD-PARTY SERVICES WILL REMAIN AVAILABLE; DATA WILL NEVER BE LOST; OR THE SERVICES WILL BE FREE FROM HARMFUL COMPONENTS.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LTMG AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, ANTICIPATED SAVINGS, REPUTATION, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LTMG'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (1) THE AMOUNT YOU PAID TO LTMG FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (2) ONE HUNDRED U.S. DOLLARS ($100.00).
THE LIMITATIONS IN THIS SECTION APPLY TO ALL THEORIES OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, STATUTE, AND OTHERWISE.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, liability is limited to the maximum extent permitted by law.

Indemnification
You agree to indemnify, defend, and hold harmless LTMG and its owners, officers, directors, employees, contractors, agents, affiliates, suppliers, and service providers from and against all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your use of the Services
- Client Content
- Your website, business, products, or services
- Your violation of these Terms
- Your violation of law
- Your violation of third-party rights
- Your communications with customers, prospects, or users
- Your domain, DNS, or registrar activity
- Your authorized users
- Your failure to obtain required consents
- Any dispute between you and your customers, website visitors, employees, contractors, or third parties
LTMG may control the defense of any matter subject to indemnification. You agree to cooperate with LTMG's defense of such matters.

Suspension and Termination
LTMG may suspend, restrict, disable, remove, or terminate access to all or part of the Services immediately if:
- Payment fails
- You dispute charges without first contacting LTMG
- You violate these Terms
- You create legal, security, operational, or reputational risk
- Your account is compromised
- Your content or website is unlawful or abusive
- Your use affects service availability or deliverability
- Required third-party services become unavailable
- LTMG is required to do so by law or third-party provider requirement
- Continued service is impractical or commercially unreasonable
Upon termination, your access may cease, hosted assets may be disabled, unpaid fees remain due, licenses granted to you may end, LTMG may retain records as described in the Privacy Policy, and provisions intended to survive will survive.
Sections relating to ownership, payment obligations, Client Content responsibility, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, and general terms survive termination.

Data Export and Portability
Upon cancellation or termination, LTMG may provide available export options for Client Content where technically feasible and commercially reasonable.
Exports may include certain text, images, published content, or files, but do not include LTMG Property, proprietary templates, source code, AI prompts, workflows, automation logic, platform configuration, infrastructure code, internal analytics, or trade secrets.
LTMG may charge reasonable fees for custom export work, migration assistance, domain transfer assistance, or services outside your plan.

Copyright and Intellectual Property Complaints
If you believe content hosted or displayed through the Services infringes your rights, contact [email protected] with:
- Your name and contact information
- Identification of the copyrighted work or protected material
- Identification of the allegedly infringing material
- The URL or location of the material
- A statement that you have a good-faith belief the use is unauthorized
- A statement that the information is accurate
- Your physical or electronic signature
LTMG may remove or disable content alleged to infringe rights and may terminate repeat infringers where appropriate.

Governing Law
These Terms are governed by the laws of the State of Rhode Island and the laws of the United States, without regard to conflict-of-law principles.

Dispute Resolution
30.1 — Informal Resolution
Before filing a claim, you agree to contact LTMG at [email protected] and attempt to resolve the dispute informally. The parties will attempt in good faith to resolve the dispute for at least thirty (30) days.
30.2 — Binding Arbitration
Except for claims that may be brought in small claims court, claims for injunctive relief, claims involving intellectual property misuse, or claims that cannot be arbitrated by law, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules.
The arbitration will take place in Providence County, Rhode Island, unless the parties agree otherwise. The arbitrator may award the same damages and relief that a court could award on an individual basis, subject to these Terms.
30.3 — Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND LTMG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION.
30.4 — Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND LTMG WAIVE ANY RIGHT TO A JURY TRIAL.
30.5 — Arbitration Opt-Out
You may opt out of the arbitration provisions in this Section by sending written notice to [email protected] within thirty (30) days after you first accept these Terms. Your notice must include your name, business name if applicable, email address, and a clear statement that you opt out of arbitration. Opting out of arbitration does not opt you out of any other provision of these Terms.
30.6 — Venue for Non-Arbitrable Claims
For claims not subject to arbitration, you and LTMG agree to the exclusive jurisdiction and venue of the state and federal courts located in Rhode Island.

Changes to the Services or Terms
LTMG may update these Terms from time to time. Updated Terms become effective when posted unless otherwise stated.
If changes are material, LTMG may provide notice through the Services, by email, through the Client Portal, or by other reasonable means.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Services and cancel any active Subscription.

Force Majeure
LTMG is not liable for delay, failure, outage, or inability to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet failures, utility failures, cyberattacks, government actions, changes in law, vendor failures, cloud provider outages, payment processor outages, DNS or registrar failures, pandemics, or other events beyond LTMG's reasonable control.

Export Control and Sanctions
You may not use the Services in violation of U.S. export control laws, sanctions, or trade restrictions. You represent that you are not located in, organized under the laws of, or ordinarily resident in a sanctioned jurisdiction, and are not a restricted party under applicable sanctions laws.

Assignment
You may not assign or transfer these Terms without LTMG's prior written consent. LTMG may assign or transfer these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, or by operation of law.

Severability
If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.

No Waiver
LTMG's failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

Entire Agreement
These Terms, the Privacy Policy, any applicable order forms, invoices, written service descriptions, and signed agreements constitute the entire agreement between you and LTMG regarding the Services and supersede prior or contemporaneous understandings regarding the same subject.
